The maximum number of shares that the offshore company
is authorized to issue is stated in the Memorandum of Association of the
company. There is no requirement to issue all of the authorized shares. The
maximum number of shares in the offshore company can be specified by you at the
time of registration of the company or at a time in the future by amending the
Memorandum of Association of the company.
In the BVI the default maximum number of shares authorized to be issued by the
offshore company is 50,000. If you want more than 50,000 authorized shares the
BVI Companies Registry's registration fee and annual renewal fee increases
significantly. Choosing a maximum below the 50,000 shares will Not decrease or
increase these government fees.
